Este Acordo de Servi\u00e7o de Assinatura Dotcom-Monitor (\u201cAcordo<\/b>\u201d) \u00e9 celebrado entre Dotcom-Monitor, Inc.<\/b>, com escrit\u00f3rios em 2500 Shadywood Road, Suite #820, Orono, Minnesota 55356, EUA (\u201cVendedor<\/b>\u201d), e voc\u00ea, agindo como indiv\u00edduo ou entidade legal (\u201cAssinante<\/b>\u201d).<\/p>
Este Acordo rege o acesso e uso do Assinante aos servi\u00e7os pagos do Vendedor, servi\u00e7os de teste gratuito e quaisquer ofertas gratuitas ou promocionais disponibilizadas pelo Vendedor atrav\u00e9s de dotcom-monitor.com<\/b>, loadview-testing.com<\/b>, dotcom-tools.com<\/b> e quaisquer outros sites, aplicativos, plataformas, softwares, APIs ou servi\u00e7os operados ou fornecidos pelo Vendedor agora ou no futuro (coletivamente, o \u201cServi\u00e7o<\/b>\u201d).<\/p>
Ao clicar em \u201cEU ACEITO\u201d<\/strong>, acessar ou usar o Servi\u00e7o, o Assinante concorda em cumprir este Acordo.<\/p>
Vendedor e Assinante podem ser referidos individualmente como \u201cParte<\/strong>\u201d e coletivamente como \u201cPartes<\/strong>\u201d.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

Este Acordo entra em vigor na aceita\u00e7\u00e3o pelo Assinante (\u201cData de Vig\u00eancia<\/b>\u201d).<\/p>
Este Acordo permanecer\u00e1 em vigor pelo prazo de assinatura selecionado pelo Assinante (o \u201cPer\u00edodo de Assinatura<\/b>\u201d) e ser\u00e1 renovado automaticamente por per\u00edodos sucessivos, a menos que qualquer das Partes forne\u00e7a aviso por escrito de n\u00e3o renova\u00e7\u00e3o com pelo menos quinze (15) dias antes do t\u00e9rmino do Per\u00edodo de Assinatura em vigor.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

O Vendedor mant\u00e9m todos os direitos, t\u00edtulos e interesses no Servi\u00e7o, incluindo todo software relacionado, plataformas, APIs, documenta\u00e7\u00e3o, tecnologia e propriedade intelectual.<\/p>
Sujeito a este Acordo, o Vendedor concede ao Assinante uma licen\u00e7a limitada, n\u00e3o exclusiva, intransfer\u00edvel, sem sublicen\u00e7a e revog\u00e1vel para acessar e usar o Servi\u00e7o exclusivamente para fins internos de neg\u00f3cios do Assinante durante o Per\u00edodo de Assinatura.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

O Assinante declara e garante que:<\/p>
O Assinante n\u00e3o est\u00e1 usando o Servi\u00e7o para compara\u00e7\u00e3o, engenharia reversa ou desenvolvimento de produto ou servi\u00e7o concorrente.<\/li>
O Assinante usar\u00e1 o Servi\u00e7o e quaisquer dados gerados (\u201cDados<\/strong>\u201d) exclusivamente para fins legais.<\/li>
O Assinante obteve todos os direitos e autoriza\u00e7\u00f5es necess\u00e1rios para usar o Servi\u00e7o em conex\u00e3o com quaisquer sistemas, aplicativos ou ambientes acessados ou testados.<\/li>
O Assinante n\u00e3o est\u00e1 localizado em, nem est\u00e1 sujeito a, qualquer jurisdi\u00e7\u00e3o sujeita a restri\u00e7\u00f5es de exporta\u00e7\u00e3o ou san\u00e7\u00f5es dos EUA.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

O Assinante dever\u00e1 cumprir a Pol\u00edtica de Uso Aceit\u00e1vel do Vendedor (\u201cAUP<\/b>\u201d), incorporada por refer\u00eancia neste documento.<\/p>
O Assinante n\u00e3o dever\u00e1:<\/p>
Usar ferramentas automatizadas, exceto conforme permitido pelo Servi\u00e7o;<\/li>
Impor carga excessiva nos sistemas do Vendedor;<\/li>
Acessar, testar ou interagir com sistemas sem a devida autoriza\u00e7\u00e3o;<\/li>
Usar o Servi\u00e7o para atividades ilegais, maliciosas ou enganosas.<\/li><\/ul>
O Vendedor pode suspender ou encerrar o acesso imediatamente se o Assinante violar esta Se\u00e7\u00e3o ou representar risco legal, de seguran\u00e7a ou operacional.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

O Assinante mant\u00e9m a propriedade dos Dados gerados por seu uso do Servi\u00e7o.<\/p>
O Vendedor poder\u00e1 usar os Dados perpetuamente, irrevogavelmente e livre de royalties<\/b> em forma agregada e anonimizada para operar, manter, analisar, comparar e melhorar o Servi\u00e7o, desde que tal uso n\u00e3o identifique o Assinante ou seus sistemas.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

\u201cInforma\u00e7\u00f5es Confidenciais<\/b>\u201d significa informa\u00e7\u00f5es n\u00e3o p\u00fablicas do Vendedor divulgadas sob este Acordo.<\/p>
Obriga\u00e7\u00f5es de confidencialidade permanecem:<\/p>
Sete (7) anos<\/strong> para Informa\u00e7\u00f5es Confidenciais gerais; e<\/li>
Perpetuamente<\/strong> para quaisquer Informa\u00e7\u00f5es Confidenciais que constituam segredo comercial conforme a lei aplic\u00e1vel.<\/li><\/ul>
O Assinante dever\u00e1 proteger as Informa\u00e7\u00f5es Confidenciais com cuidado razo\u00e1vel e pode divulg\u00e1-las somente a pessoal com necessidade leg\u00edtima de conhecimento e que estejam vinculados por obriga\u00e7\u00f5es de confidencialidade.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

As taxas devem ser pagas em at\u00e9 trinta (30) dias a partir da fatura. Valores em atraso acumulam juros de 1,5% ao m\u00eas<\/b> ou a taxa m\u00e1xima permitida por lei.<\/p>

EXCETO CONFORME EXPRESSAMENTE PREVISTO NESTE DOCUMENTO, O SERVI\u00c7O \u00c9 FORNECIDO \u201cNO ESTADO EM QUE SE ENCONTRA\u201d E O VENDEDOR RENUNCIA TODAS AS GARANTIAS, EXPRESSAS OU IMPL\u00cdCITAS, INCLUINDO MAS N\u00c3O SE LIMITANDO \u00c0S GARANTIAS IMPL\u00cdCITAS DE COMERCIABILIDADE, ADEQUA\u00c7\u00c3O A UM DETERMINADO FIM E N\u00c3O INFRA\u00c7\u00c3O.<\/b><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

NA M\u00c1XIMA EXTENS\u00c3O PERMITIDA POR LEI:<\/p>
O VENDEDOR N\u00c3O SER\u00c1 RESPONS\u00c1VEL POR QUAISQUER DANOS INDIRETOS, INCIDENTAIS, CONSEQUENCIAIS OU ESPECIAIS, INCLUINDO LUCROS CESSANTES OU INTERRUP\u00c7\u00c3O DE NEG\u00d3CIOS, E O ASSINANTE RENUNCIA EXPRESSAMENTE A QUAISQUER RECLAMA\u00c7\u00d5ES POR TAIS DANOS.<\/li>
A RESPONSABILIDADE AGREGADA TOTAL DO VENDEDOR N\u00c3O DEVE EXCEDER AS TAXAS TOTAIS PAGAS PELO ASSINANTE NOS DOZE (12) MESES ANTERIORES AO EVENTO QUE DEU ORIGEM \u00c0 RECLAMA\u00c7\u00c3O.<\/li><\/ul>
Estas limita\u00e7\u00f5es n\u00e3o se aplicam<\/strong> \u00e0s obriga\u00e7\u00f5es do Assinante relativas a:<\/p>
Pagamento;<\/li>
Quebra de confidencialidade; ou<\/li>
Viola\u00e7\u00e3o ou uso indevido da propriedade intelectual do Vendedor.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

O Assinante deve indenizar, defender e isentar o Vendedor de quaisquer reclama\u00e7\u00f5es decorrentes de:<\/p>
Uso do Servi\u00e7o pelo Assinante;<\/li>
Viola\u00e7\u00e3o da lei pelo Assinante; ou<\/li>
Acesso ou uso n\u00e3o autorizado de sistemas, dados ou ambientes.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t
